By accessing or using the TalaPro platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms apply to all users of the Platform, including talent (independent contractors) and clients (businesses).
These Terms constitute a legally binding agreement between you and TalaPro. If you are using the Platform on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
TalaPro provides an online talent operations platform that facilitates connections between verified Filipino remote professionals engaged as independent contractors ("Talent") and US/Canada businesses seeking skilled remote contractors ("Clients"). TalaPro's services include:
TalaPro acts as an intermediary platform. TalaPro is not a staffing agency, employer, or party to the engagements between Talent and Clients, except as expressly set forth in a signed engagement contract.
To use the TalaPro Platform, you must:
TalaPro reserves the right to refuse access to any individual or entity that does not meet these eligibility requirements.
To access the Platform, you must create an account. You agree to:

All engagements facilitated through TalaPro are governed by individual engagement contracts prepared by TalaPro and executed by the relevant Talent and Client parties. Contract changes are managed through the CLM (Contract Lifecycle Management) framework:
TalaPro reserves the right to review and approve all CLM requests prior to implementation.
Payment terms for both Talent and Clients are governed by the individual engagement contract and client onboarding agreement. The following general terms apply:
Invoices not paid by their due date are subject to late fees, which may continue to accrue on a recurring basis for as long as the balance remains outstanding. Applicable late fee rates and grace periods are set forth in the client onboarding agreement. If an invoice remains overdue beyond the period specified in the client onboarding agreement, TalaPro reserves the right to pause the Client's subscription and restrict submission of new Expressions of Interest until the outstanding balance is resolved. Platform access is automatically restored once the overdue balance is paid in full. Pausing an account for nonpayment does not relieve the Client of its obligation to pay all outstanding fees, including any accrued late fees.
You agree not to use the TalaPro Platform to:
Violation of these terms may result in immediate account suspension or termination.
All content, design, software, and materials on the TalaPro Platform — excluding user-submitted content — are the property of TalaPro and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any TalaPro content without express written permission.
You retain ownership of any content you submit to the Platform, including resumes, documents, and video introductions. By submitting content, you grant TalaPro a limited, non-exclusive, royalty-free license to use that content solely for the purpose of operating the Platform and facilitating your engagements.
Users agree to maintain the confidentiality of any non-public information they access through the Platform, including but not limited to other users' profile details, financial information, contract terms, and business information. This obligation survives termination of your account.
TalaPro provides the Platform on an "as is" and "as available" basis. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. TalaPro makes no guarantees regarding the quality, suitability, or availability of any Talent or Client on the Platform.
TalaPro is not responsible for the conduct of any user on or off the Platform, or for the outcome of any engagement between Talent and Clients.
To the fullest extent permitted by applicable law, TalaPro shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform, even if TalaPro has been advised of the possibility of such damages.
TalaPro's total liability to you for any claim arising out of or related to these Terms or the Platform shall not exceed the total fees paid by you to TalaPro in the three months preceding the claim.
TalaPro may suspend or terminate your account at any time, with or without notice, for violation of these Terms or for any other reason at TalaPro's sole discretion. You may close your account at any time by contacting TalaPro through the Contact page.
Upon termination, your right to access the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination — including confidentiality, intellectual property, and limitation of liability — shall remain in effect.
These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Platform shall first be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts located in Wake County, North Carolina.
TalaPro reserves the right to update or modify these Terms at any time. When material changes are made, registered users will be notified by email and the "Last updated" date will be revised. Continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.
